Welcome to VeloStratega. These Terms and Conditions ("Terms") govern your access to and use of our website, services, and coaching programs. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

By using our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to active clients. We will make reasonable efforts to provide alternative arrangements for clients with existing bookings.

5. Booking and Scheduling

5.1 Consultation Booking

Free initial consultations are subject to availability and may be limited to one per prospective client. Consultations are intended to assess needs and discuss service options, not to provide full coaching services.

5.2 Session Scheduling

Clients must schedule sessions in advance according to coach availability. Scheduling is conducted through mutual agreement and confirmed via email.

5.3 Rescheduling

Clients may reschedule sessions with at least 24 hours' notice without penalty. Requests to reschedule must be submitted via email or phone. We will make reasonable efforts to accommodate rescheduling requests based on coach availability.

5.4 Late Arrivals

Sessions start at the scheduled time. If a client arrives late, the session will still end at the originally scheduled time, and no refund or extension will be provided for the missed time.

6. Payment Terms

6.1 Pricing

All prices are displayed in Japanese Yen (¥) and are subject to change. Current pricing is available on our website. Price changes will not affect services already purchased.

6.2 Payment Methods

We accept payment via credit card, bank transfer, and other payment methods as indicated at checkout. Payment processing is handled securely through third-party payment processors.

6.3 Payment Schedule

Payment is required in full before service delivery unless alternative arrangements have been agreed upon in writing. For package programs, payment plans may be available upon request.

6.4 Taxes

Prices include applicable consumption tax. You are responsible for any additional taxes that may apply based on your location.

Failure to pay for services may result in suspension or termination of services and potential legal action to recover amounts owed.

7. Cancellation Policy

7.1 Client Cancellation

Clients may cancel individual sessions with at least 24 hours' notice without penalty. Cancellations with less than 24 hours' notice will result in forfeiture of that session.

7.2 Emergency Cancellations

In cases of documented medical emergencies or other extraordinary circumstances, we may waive the 24-hour cancellation requirement at our discretion.

7.3 Company Cancellation

We reserve the right to cancel or reschedule sessions due to coach illness, emergency, or other unforeseen circumstances. In such cases, we will provide as much notice as possible and work with you to reschedule at no additional cost.

8. Refund Policy

Our refund policy is detailed in our separate Refund Policy document. Please review it carefully before purchasing services. By using our services, you acknowledge that you have read and agree to our Refund Policy.

9. Client Responsibilities

9.1 Active Participation

Clients are expected to actively participate in coaching sessions, complete assigned exercises, and apply learned techniques. Results depend significantly on client effort and commitment.

9.2 Honest Communication

Clients should provide accurate information about their goals, challenges, and circumstances to enable effective coaching.

9.3 Professional Conduct

Clients must treat coaches and staff with respect. We reserve the right to terminate services without refund if a client engages in abusive, threatening, or inappropriate behavior.

9.4 Technical Requirements

For virtual sessions, clients are responsible for ensuring they have appropriate technology, including a stable internet connection, functioning camera and microphone, and necessary software.

10. Intellectual Property Rights

10.1 Ownership

All content, materials, methodologies, and resources provided by VeloStratega, including but not limited to worksheets, presentations, videos, and training materials, are the intellectual property of VeloStratega and are protected by copyright and other intellectual property laws.

10.2 Limited License

Clients are granted a limited, non-exclusive, non-transferable license to use provided materials solely for personal development purposes. Clients may not:

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.

16.2 Dispute Resolution

In the event of any dispute arising from these Terms or our services, parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Nagoya, Japan, in accordance with Japanese arbitration laws.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, consolidated action, or representative action.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice at least 30 days before taking effect. Continued use of services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to modified Terms, you may terminate services in accordance with our Refund Policy.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and VeloStratega regarding use of our services and supersede all prior agreements and understandings.
